Software Transactional Attorney

Profile

Ice Miller is seeking a mid-to-senior level attorney to join any of our 3 Midwest offices (Indianapolis, Columbus, or Chicago) to negotiate, draft, review, and revise software and other technology contracts. In this position, the attorney will have the opportunity to lead negotiations on a variety of software contracts including, but not limited to: SaaS, installed software, hosted software, large scale ERP systems and other software platforms, software development, implementation and integration services agreements and associated statements of work (SOWs), and other IP licensing and technology agreements. The attorney will act as a liaison to clients on these matters and to other team members who need support in reviewing and revising software contracts. A computer science or related degree (or substantial work experience involving software agreements) is required, and patent bar registration is a plus. Candidates must have strong communication skills suitable to live negotiations, a team-oriented mentality, be a motivated self-starter, and thrive in fast-paced work environments.

In this position the associate will:

Manage all aspects of a busy software transactions practice

Lead negotiations on wide variety of software and software-related contracts

Liaise with clients regarding goals and needs to best represent client in negotiations

Draft, review, and revise software and software-related contracts

Provide technical expertise in software, and related areas

Receive training opportunities with growing levels of responsibility

Collaborate across practice groups and across offices

Have opportunities for advancement in a collegial environment

Work in a small office atmosphere with the resources of an AM Law 200 firm

Engage in business development activities with the potential to grow into the partnership

Ideal candidates will:

Have a bachelor’s or advanced degree in computer science related field or significant relevant work experience with software/computers

Be a skilled contract negotiator with substantial experience as lead negotiator

Have 4 or more years of experience as a transactional attorney at a law firm

Have deep knowledge of different types of software and the relevant contract requirements related to each

Current registration with USPTO and software patent experience is preferred

Possess excellent verbal and written communication skills

Excel in a team environment

Demonstrate a keen interest in developing and implementing relationship-building skills both internally and externally

Have prior experiences that prepare them to work with attorneys, staff and clients from cultures and backgrounds different from their own

Be highly motivated and a self-starter

Be flexible and able to thrive in a fast-paced, dynamic environment

Have excellent law school credentials and references
